Licence Direct

Free, self-service IP licence agreement drafting

Steps

Greyed-out sections above can't be opened yet - required information in an earlier section is still missing. Complete that section to unlock them.

Step 8 of 24: Sublicensing

Sublicensing
💡 Tip

Consider not permitting sublicensing. This would then require Licensee to obtain Licensor's consent to any sub-licence. This would enable Licensor to ensure that the sub-licensee and the terms of the sub-licence are acceptable at the time of granting a sub-licence.

FAQs

Can I really download and use the licence for free?

Yes, S&Z allows you to download and use the licence for free.

However, since we enjoy copyright in the licence, you cannot manually make changes to a downloaded licence without our permission. Should you wish to make changes to a downloaded licence, you must edit the inputs on the system and download a fresh licence. This is necessary to ensure that our reputation in Licence Direct is not negatively affected by poorly revised licences.

Can I get a Word version of the licence?

If you are a law firm, login to Licence Direct and send us an email requesting a Word version of the licence. We trust that you will make suitable edits.

What kind of IP can I license using Licence Direct?

Licence Direct covers patents, designs, copyright, trademarks and know-how.

What if I have partially completed the questionnaire?

You don't need to complete the questionnaire and download the licence in one sitting. The questionnaire is well-suited to guide licensing negotiations, which can take days. If you have partially completed the questionnaire, save it. When you are ready to continue, log back in, select the saved draft case and continue completing the questionnaire.

What if I close my browser without saving?

Progress is tied to your browser's session until you save it. If you restart your computer or a browser session, your draft will be lost, if not saved.

Can I work on more than one licence at a time?

Yes, save each draft using your email and they'll all show up in your saved cases list.

How do I report an error in the questionnaire or licence?

Although we strive to create a perfect system, software development is buggy. The drafting flexibility provided by Licence Direct means that some input combinations may have slipped through a testing crack. If you spot an error in the questionnaire or licence, please login and send us an email describing the error so that we are able to fix it.

Can I engage S&Z to draft a licence for me?

Unfortunately, we are too busy developing IP systems to provide licence drafting services. Give Licence Direct a try. It will likely exceed your expectations.

Is Licence Direct a substitute for obtaining legal advice?

No, Licence Direct provides a draft licence without legal assistance and is not a substitute for legal advice. It is your responsibility to double-check the content of the licence (from both legal and factual perspectives) and ensure that it correctly reflects the intention of the parties.

Do I need to register or accept T&Cs?

No, you can use Licence Direct to draft licences anonymously. Should you wish to save a draft case, you will need to provide your email address to receive a verification code. You don't need to register, accept T&Cs or use a password.

Will S&Z keep my information secret?

Yes, we will not use any information you input into Licence Direct or disclose it to anyone.

Can I remove the watermark from the licence?

It is not possible to remove the watermark from the PDF version of the licence. However, if you are a law firm, we can send you a Word version of the licence without the watermark.
